In accordance with the Arkansas Business Corporation Act of 1987, The form is available for download at http://www.sos.arkansas.gov/corp_ucc/corp_forms/forms/DN-10.pdf . The Articles of Dissolution must include the following: the name of the corporation, the date the dissolution was authorized, the total number of shareholder votes cast, and either the number of votes in favor or against dissolution or the total number of undisputed votes in favor. The Articles must be signed by a corporate officer, who must also attest that the number of votes cast in favor of dissolution is a sufficient to authorize the dissolution. Additionally, at the time of dissolution, the corporation must file the Final Franchise Tax Report and pay the appropriate tax amount for the prior and current years.
