Information required to complete the Certificate of Dissolution includes the name of the corporation, it’s state identification number, and information regarding the manner in which dissolution was authorized. The certificate must be signed by an authorized officer or agent of the corporation. It must also include the name and telephone number of the person who prepared the document. The Certificate of Dissolution may be mailed to the Lansing office of the Michigan Department of Labor and Economic Growth’s Bureau of Commercial Services along with the mandatory filing fee, or may be delivered in person to the Okemos, MI office. Additionally, within 60 days of filing the Certificate of Dissolution, the entity must request a tax clearance from the state’s Department of Treasury Tax Clearance Division
