How do you Dissolve a Florida Corporation?

Answer:
To dissolve a Florida Corporation, Articles of Dissolution must
be filed with the Florida Department of State Division of Corporations.

The necessary form may be downloaded from http://form.sunbiz.org/pdf/cr2e012.pdf . This document includes the form for corporations that have not yet commenced operations as well as those that have been engaging in business activities.

It must be mailed or delivered, along with the required filing fee, to the Amendment Section of the Division of Corporations in Tallahassee. Information required to complete the form includes the following: name of the corporation, the date the articles are filed, how the net assets will be distributed, and the manner in which the decision to dissolve was authorized.

The form may specify an immediate effective date, or an effective date delayed by as many as 90 days following filing. A cover letter that includes the authorized officer’s return address, telephone number, and certification requirements must be submitted along with the form.
