It must specify the manner in which dissolution was authorized by the board of directors and/or incorporators, and asset that the procedures utilized were in compliance with state law.

For both types of corporations, the Certificate of Dissolution must also include the name of the corporation and the date of the dissolution. It must be executed by a corporate officer.
