To dissolve a Connecticut corporation, an Articles of Dissolution form The Certificate of Dissolution form needed to dissolve a stock corporation may be downloaded from http://www.sots.ct.gov/CommercialRecording/Forms/Ctstock/DISSOL.pdf . The form must include an assertion that the proposal to dissolve was approved by stockholders, incorporators, and/or the board of directors in accordance with both the General Statutes of Connecticut and the entity’s Certificate of Incorporation. The Certificate of Dissolution for a nonstock corporation can be found at http://www.sots.ct.gov/CommercialRecording/forms/ctnonst/DISSOLUT.pdf . It must specify the manner in which dissolution was authorized by the board of directors and/or incorporators, and asset that the procedures utilized were in compliance with state law. For both types of corporations, the Certificate of Dissolution must also include the name of the corporation and the date of the dissolution. It must be executed by a corporate officer.
