How do you dissolve a California Corporation?

Answer:
In California, both stock and non-profit corporations
must file a Certificate of Dissolution with the Secretary of State in order to be dissolved. If the dissolution is not made by a vote of all stockholders or members an additional form,  the Certificate of Election to Wind Up and Dissolve, must also be filed. This form must be submitted along with or prior to filing the Certificate of Dissolution.


There are no fee to file California dissolution forms or to dissolve your CA corporation for that matter. Both the Certificate of Dissolution and Certificate of Election to Wind Up and Dissolve are available for download on the California Secretary of State’s website .
